By accessing or using the Callari platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the business you represent) and Callari AI ("Callari", "we", "us"). By creating an account or using the Service, you confirm you have the authority to agree to these Terms.

2. Description of Service

Callari provides an AI voice agent platform that allows businesses to deploy, manage, and monitor automated voice agents for inbound and outbound calling, CRM integration, analytics, and related features. The Service is provided on a subscription basis.

You are solely responsible for ensuring your use of Callari complies with all applicable telephony laws and regulations, including:

Callari is not liable for any legal penalties arising from your non-compliance with calling laws.

7. Intellectual Property

The Callari platform, including its software, design, and content, is owned by Callari AI and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

You retain ownership of all data you upload to the platform (knowledge bases, lead lists, call scripts). By uploading data, you grant Callari a limited license to process it solely to provide the Service.

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Uptime and Service Level

We target 99.9% platform uptime, excluding scheduled maintenance. We do not guarantee uninterrupted service and are not liable for downtime caused by third-party providers (Twilio, AWS, etc.) or events beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, Callari's total liability for any claim arising from these Terms or use of the Service shall not exceed the fees you paid in the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or data loss.

11. Indemnification

You agree to indemnify and hold Callari harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law, including telephony regulations.

12. Termination

Either party may terminate the service agreement at any time. You may cancel your subscription through your account settings. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your data will be deleted within 30 days per our Privacy Policy.

13. Modifications to Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with JAMS rules, except for claims that may be brought in small claims court.
